OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE ANY ENTRANT’S CHANCES OF WINNING.

1. Eligibility: The “r.e.m. beauty dangerous woman collection giveaway” (the “Contest”) is open only to legal residents of the contiguous forty-eight (48) states of the United States and the District of Columbia who are 18 years of age or older at the time of entry. Employees of AGREM Beauty LLC and their respective parents, affiliates, subsidiaries, agencies and suppliers (collectively, the “Sponsor Parties”) and members of the Sponsor Parties’ immediate families [or persons living in the same household] as the Sponsor Parties are not eligible. Void in Alaska, Hawaii, Puerto Rico and where prohibited by law. For purposes of the Contest, "immediate family" is defined as spouses, parents, children, siblings and their respective spouses, regardless of whether they reside in the same household. 

2. Sponsor(s): AGREM Beauty LLC, with an address care of Gelfand, Rennert & Feldman, LLC, 1880 Century Park  East, #1600. LA, California, 90067 (collectively, “Sponsor”).  

3. Timing: The Contest begins [5/20/2026 at 1:00PM PST and ends 5/24/2026 at 11:59PM PST] (“Contest Period”) 

4. How to Enter: Only those entries received by @r.e.m.beauty during the Contest Period will be valid. During the Contest Period, entrants must follow @r.e.m.beauty on Instagram or TikTok like the indicated post, and comment on the entry post, and tag 2 friends in the comments. Extra entries for reposting + resharing. Entrants must have valid and public Instagram or TikTok accounts to be eligible to enter. An entrant may only enter once, and no more than one person can enter using the same Instagram or TikTok account. Use of any automated system to participate is prohibited and will result in disqualification. The Contest is not sponsored by Instagram or TikTok.  BY ENTERING THIS CONTEST, ENTRANT ACCEPTS AND AGREES TO THESE OFFICIAL RULES AND THE DECISIONS OF SPONSOR IN ITS SOLE AND ABSOLUTE DISCRETION, WHICH DECISIONS SHALL BE FINAL IN ALL MATTERS.

6. Drawing/Odds; Winner Selection and Notification: On or about 5/25/2026 by 11:59PM PS Sponsor will select two (2) winners from among all eligible entries received (the “Winners”) through a random drawing. Odds of winning depend on the number of eligible entries received. The Winners will be contacted via Instagram or TikTok Direct Message within four (4) days after the Contest Period ends. Winners will have twenty-four (24) hours to confirm and claim their Prize (as defined below) via response to the Instagram direct message. Entrants are responsible for ensuring that their Instagram account information is up-to-date, accurate, and able to receive direct messages. Failure to respond within the applicable twenty-four (24) hour time period Prize notices returned as undeliverable will result in the disqualification of the potential Winner(s) and an alternate winner will be selected. Sponsor’s decisions as to the random drawing are final. If a Winner is discovered to be invalid for any reason prior to delivery of the Prize, or cannot be contacted or does not respond within the twenty-four (24) hour time period, an alternate Winner may be selected, at the sole and absolute discretion of Sponsor. 

7. Prize: The Winners will each receive r.e.m. beauty dangerous woman pr mailer (collectively, the “Prize”). The approximate retail value (ARV) of the Prize — $96.  

8. The Prize is non-refundable and has no cash value. No assignment, substitution or transfer of the Prize by a Winner will be permitted. Sponsor reserves the right to substitute a prize of equal or greater value. WINNERS ARE SOLELY RESPONSIBLE FOR ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OF THE PRIZE.  

9. Potential Winner(s), Publicity: By entering this Contest and/or accepting the Prize, where permitted by law, each entrant grants Sponsor’s and the Released Parties (as defined below) the right to print, publish, broadcast and use IN ALL MEDIA without limitation at any time entrant’s full name, portrait, picture, likeness, voice, and/or biographical information for marketing, trade, promotional, publicity or advertising purposes, in any manner, without further payment or additional consideration, and without review, approval, notification, geographic or time limitation. All federal and state laws apply.  

10. Acceptance of Official Rules: Entry into the Contest constitutes an entrant’s full and unconditional agreement to these Official Rules and with Sponsor’s decisions, which are final and binding in all respects. 

11. Entry Errors: The Released Parties (as defined below) are not responsible for (a) lost, late, incomplete, incorrect, damaged, stolen, invalid, unintelligible or misdirected entries, which will be disqualified; (b) an entrant’s failure to receive prize notices due to entrant’s security settings or for entrants’ provision of incorrect or otherwise non-functioning account or contract information; (c) technical, hardware or software malfunctions; (d) lost or unavailable network connections; (e) interruptions to any network, server, internet, website, telephone, satellite, computer or other connections; failures of any telephone, satellite, hardware, software or other equipment; (f) failed, incorrect, inaccurate, incomplete, garbled, delayed, misdirected or jumbled transmissions or traffic congestion (whether caused by the sender or by any of the equipment or programming associated with or used in this Contest); (g) any human error which may occur in the processing of the entries in this Contest; (h) any typographical, technological, printing, or other error in the publishing of the offer, administration of the Contest, or announcement of the Prize; or (i) other errors of any kind. If, in Sponsor’s opinion, there is such an error, or there is any suspected evidence of tampering with any portion of the Contest, or if technical difficulties (including viruses and bugs) compromise the integrity of the Contest, Sponsor reserves the right, in its sole discretion, to cancel or modify this Contests in the manner it deems appropriate. In the event of termination, Winners will be selected from among all eligible entries received as of date of termination. In the event of a dispute, the person to whom the Instagram account used to enter the Contest was registered will be deemed the winning entrant. Potential winners may be required to show proof of identification in conjunction with Prize award/acceptance. 

12. Release and Limitations of Liability: By entering into this Contest, each entrant waives all right to, and releases, discharges, defends, indemnifies and holds harmless Instagram, Sponsor, its successors and assigns, Sponsor Parties and their respective shareholders, directors, officers, licensees, representatives and agents, (collectively, the “Released Parties”) from and against any and all actions, causes of action, claims, liabilities, losses, demands, damages, proceedings, costs or expenses whatsoever, whether in law or in equity, including attorneys’ fees and/or expert fees and costs, directly or indirectly arising out of, based upon, caused by, or in connection, with (a) entrance into or participation in this Contest; (b) the acceptance, possession, receipt, use or misuse of all or any part of the Prize; or (c) any Prize-related activity or event as well as claims/actions based on publicity rights, defamation, and/or invasion of privacy.  The Winners also acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the Prize. EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT SHALL ANY RELEASED PARTY BE LIABLE FOR ANY CONSEQUENTIAL, EXEMPLARY, INDIRECT, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES OR EXPENSES OF ANY KIND (INCLUDING WITHOUT LIMITATION, LOST PROFITS OR OTHER ECONOMIC LOSS, LOST REIMBURSEMENTS, LOST DATA, LOST SAVINGS OR DAMAGE TO GOODWILL OR REPUTATION), EVEN IF SUCH PARTY WAS ADVISED OF THE POSSIBILITY OF THE OCCURRENCE OF SUCH DAMAGES, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTORY OR ANY OTHER THEORY OF LIABILITY ARISING FROM OR RELATED TO THE CONTEST OR THESE OFFICIAL RULES. IN NO EVENT SHALL SPONSOR BE LIABLE FOR ANY AMOUNT OR ASPECT OF A WINNER’S OR ENTRANT’S PARTICIPATION IN OR TERMINATION OR DISQUALIFICATION FROM THE CONTEST, OR FROM THE TERMINATION OR CANCELLATION OF THE CONTEST. BY ENTERING INTO THE CONTEST, EACH ENTRANT HEREBY WAIVES, RELEASES AND AGREES NOT TO SUE UPON ANY CLAIM FOR ANY SUCH DAMAGES, WHETHER OR NOT ACCRUED, AND WHETHER OR NOT KNOWN OR SUSPECTED TO EXIST. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO ALL ENTRANTS. To the extent permitted by law, the rights to litigate, seek injunctive relief or to any other recourse to judicial or any other procedure in case of disputes or claims resulting from or related to the Contest are hereby excluded, and entrant expressly waives any and all such rights; and any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys’ fees.  Sponsor and Released Parties are not liable in the event that any portion of the Contest is cancelled due to weather, fire, strike, acts of war or terrorism, pandemic, or any other condition beyond their control. EACH ENTRANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY HIM/HER.  SECTION 1542 READS AS FOLLOWS:

“CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”

18. Conditions of Entrants' Conduct: Sponsor reserves the right in its sole discretion to modify, cancel, terminate, and/or suspend the Contest and/or disqualify any individual who tampers with the entry process, violates these Official Rules, violates applicable law, or commits willful misconduct. In the event that the Contest Period is terminated early, Sponsor will make the Prize available to be won among all eligible entrants who entered prior to the date of such termination and notice of such action will be posted on Sponsor’s Website (www.rembeauty.com). Without limiting the foregoing, Sponsor may lock out any entrant who, in Sponsor’s sole and absolute discretion, has been disqualified, has questionable eligibility or is otherwise ineligible to enter. 

19. Disputes: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants and Sponsor in connection with the Contest shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s or jurisdiction’s laws. By participating in the Contest, each entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or in connection with the Contest, shall be resolved individually without resort to any form of class action; (b) any judicial proceeding shall take place in a federal or state court within the State of California; (c) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event will attorney fees be awarded or recoverable; (d) under no circumstances will any entrant be permitted to obtain awards for, and each entrant hereby waives all rights to seek, punitive, incidental, exemplary, consequential, special damages, lost profits, other damages, and/or any rights to have damages multiplied or otherwise increased; and (e) each entrant’s remedies are limited to a claim for money damages (if any) and he/she waives any right to seek injunctive or equitable relief.

20. Severability: If any section, provision, term or clause shall be held or found to be unenforceable or invalid by a court decision, statute, rule or otherwise, the remaining provisions shall not be affected thereby and shall continue in full force and effect and such provision may be modified or severed from these Official Rules to the extent necessary to make such provision enforceable and consistent with the remainder of these Official Rules. 

21. USE OF DATA: Sponsor will be collecting personal data about entrants online, in accordance with its Privacy Policy. By participating in the Contest, entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy.

22. MISCELLANEOUS: These Official Rules contain the full and complete understanding with respect to the Contest and supersede all prior and contemporaneous agreements, representations, and understandings, whether oral or written. The headings herein are for convenience only, do not constitute a part of these Official Rules, and shall not be deemed to limit or affect any of the provisions hereof. No amendment to, or waiver of, any provision of these Official Rules shall be effective unless in writing and signed by Sponsor.  The waiver by Sponsor of any provision of these Official Rules shall not constitute a waiver of any other provision herein. The rights and obligations hereunder may not be assigned by any entrant, whether by operation of law or otherwise, without the prior written consent of Sponsor, and any attempted assignment in violation of the foregoing shall be null and void.  These Official Rules shall be binding upon, and inure to the benefit of, the permitted successors and assigns of Sponsor and each entrant.
